1. Portal access, precedence and eligibility
These terms govern access to and conduct on the portal only. Creating an account or selecting a portal control does not create, vary, replace or add to any commercial, employment, intellectual-property, payment, liability or indemnity obligation under a signed Master Vendor Services Agreement, Statement of Work, purchase order, client agreement or employment contract. If anything here conflicts with a signed document, the signed document prevails.
You must be at least 18 years old, provide accurate information and have authority to use the account. A portal action may accept a Statement of Work only where the controlling signed agreement expressly allows that mechanism.
2. What the portal provides
The portal supports registration, project administration, assignment, collaboration, file delivery, quality review, invoicing and payment-status workflows. Features and eligibility may differ by role. Unless a signed service agreement, statement of work, purchase order or employment document says otherwise, the portal is provided on a reasonable-efforts basis without a guaranteed assignment volume or uninterrupted availability.
3. Accounts and security
- Provide current, complete and truthful information.
- Keep credentials confidential; do not share accounts or defeat access controls.
- Notify security@monisaenterprise.com within four hours of suspected compromise.
- Use only the role and records you are authorised to access.
- Do not create accounts for another person without authority.
Except for urgent security or legal containment, suspension, allocation reduction or deactivation requires a named human decision-maker, a recorded reason and supporting evidence communicated before effect, a meaningful opportunity to make representations, and a reasoned human outcome. No adverse action may be taken merely because of a good-faith payment query, refusing or withdrawing optional AI/synthetic-voice consent, or exercising a statutory right.
4. Projects, files and confidentiality
Uploading material to the portal does not assign or license project intellectual-property rights under these portal terms. Authority to handle uploaded material and all ownership, licence, delivery and permitted-use rights follow the controlling signed agreement, Statement of Work and mandatory law. You must have authority to provide the material.
Project files, client names, credentials, personal data, pricing and internal communications may be confidential. Use them only for the assignment, protect them with reasonable care, and delete or return them when instructed unless retention is required by law or reasonably necessary for a live dispute. 5. Freelancers, project managers and work status
Registration does not guarantee approval, work, minimum hours or payment outside an authorised assignment. Portal registration does not determine whether a relationship is employment or independent contracting; classification depends on the signed documents, actual working relationship and mandatory law. Project managers receive authority only for assigned workflows and may not bind MoniSa beyond written authority.
6. Fees, invoices and payouts
Rates, milestones, acceptance criteria, currency, invoicing, permitted payout methods and payment timing are governed exclusively by the applicable signed agreement, accepted Statement of Work and purchase order. Keep payout details accurate. MoniSa may verify identity or changed payment instructions, but these portal rules do not permit withholding an undisputed amount due for accepted work or adding an unitemised charge.
7. Acceptable use
You must follow the Acceptable Use Policy. In particular, do not upload malware, scrape the portal, probe security without written authorisation, misuse personal data, impersonate others, submit unlawful or infringing content, manipulate quality or payment records, or use client material with an automated tool unless the controlling Statement of Work permits it, the tool is on the versioned Approved Tools List, and all required project and participant permissions exist.
8. Intellectual property
MoniSa and its licensors own the portal software, interface, branding and documentation. You receive a limited, revocable, non-transferable right to use the portal for authorised business purposes. Ownership of project deliverables is determined by the applicable project agreement; these general terms do not override a specific written assignment of rights.
9. Privacy, monitoring and records
The Privacy Notice explains personal-data handling. MoniSa may log portal activity for security, audit, support, quality and dispute resolution, subject to law and proportionality. Users may request an export of their own task, delivery, invoice and payment-status records before or after account closure, subject to third-party confidentiality and legal limits.
10. Suspension, closure and survival
You may ask to close your account. MoniSa may suspend or close an account for a material breach, security risk, unlawful activity, non-payment, loss of role eligibility or prolonged inactivity. Except for urgent containment required by security or law, a named human decision-maker must record the reason and evidence, give notice before effect, consider the user’s representations and provide a reasoned outcome. The appeal route is legal@monisaenterprise.com. No adverse action may be taken merely for a good-faith payment query, refusing or withdrawing optional consent, or exercising a statutory right. On closure, access ends; confidentiality, payment, ownership, liability, dispute and record-retention provisions survive as needed.
11. Disclaimers and liability
The portal is provided “as available.” Any limitation, exclusion or indemnity is governed by the applicable signed agreement and mandatory law. A portal control does not create, vary or cap liability and does not create an indemnity. Where no signed instrument addresses liability, these portal terms impose no portal-level cap; general law applies.
12. Disputes, law and changes
Raise portal-access issues through the portal or legal@monisaenterprise.com. Commercial, payment and project disputes follow the route, governing law and forum in the controlling signed agreement. These access rules do not override that process. Material portal-rule changes will be notified; a change affecting contractual rights takes effect only through the variation mechanism in the controlling signed agreement.
